Overview of Role
At CSC, every agreement we sign protects the business and moves a deal forward — legal is not a bottleneck, it is how we grow with confidence. The Associate General Counsel is CSC's dedicated contracting attorney, owning a high-volume deal pipeline and building the scalable contracting processes and playbooks that let the business grow with discipline.
Reporting directly to the General Counsel, this role is centered on negotiating and documenting the agreements that drive CSC's equipment financing business, while also supporting the General Counsel across the broader legal function. This individual owns CSC's contracting playbooks, ensures consistent enforcement of negotiating positions, and serves as the primary point of contact with counterparty counsel on deal terms.

Team Dynamics
• Reporting Structure: Report directly to the General Counsel, ensuring the contracting function operates in lockstep with CSC's broader legal strategy.
• Cross-Functional Partnership: Serve as the primary point of contact with counterparty counsel on deal terms while partnering closely with business teams and cross-functional stakeholders across CSC.
• Deal Environment: Operate in a dynamic, fast-paced, high-volume contracting environment where consistency, precision, and scalability are core to the mission.
Key Responsibilities
Contracting — Core Focus
This position serves as CSC's primary attorney for deal documentation, with direct responsibility for:
• Master Lease Agreements (MLAs) and equipment schedules
• Guaranty and other financial agreements
• Non-Disclosure Agreements (NDAs), including ownership of the NDA pipeline from intake to execution
• Vendor agreements and procurement contracts
• Hardware-as-a-Service (HaaS) agreements
• Landlord Lien Waivers (LLWs)
• Ancillary deal documentation
General Legal Support
• Assist the General Counsel across all legal matters, including litigation, bankruptcy, and regulatory matters as needed.
Success Measures
• Deal cycle time and contracting velocity across MLAs, guaranty's, and ancillary documentation.
• Consistent enforcement of CSC's negotiating positions and playbook standards across all deal types.
• Throughput and control of the NDA pipeline from intake to execution.
• Scalability and efficiency of contracting processes as deal volume grows.
